CBRA Resolutions 1-4

RESOLUTION #1

Bylaw Adoption

WHEREAS
The Cumberland Beach & District Ratepayers Association Inc. (CB&DRA) is a corporation governed by the Ontario Not-for-Profit Corporations Act, 2010 (ONCA), which came into effect on October 19, 2021;

AND WHEREAS
The CB&DRA is required to adhere to all sections of ONCA and be in full compliance with the Act, including the filing of governing documents with the Ontario government prior to October 18, 2024;

AND WHEREAS
The CB&DRA Board of Directors has drafted bylaws in accordance with ONCA;

AND WHEREAS
The CB&DRA membership has had an opportunity to review the said bylaws;

AND WHEREAS
They can be amended and revised as needed by the Board of Directors and be ratified by the membership at the next Annual General Meeting;

NOW, THEREFORE, BE IT RESOLVED
That the above-mentioned bylaws are hereby approved, ratified, and confirmed by the members of the Cumberland Beach & District Ratepayers Association Inc.

RESOLUTION #2

Extraordinary Resolution (Auditor)

 

WHEREAS
The Cumberland Beach & District Ratepayers Association Inc. (CB&DRA) is a corporation organized and existing under the Ontario Not-for-Profit Corporations Act, 2010 (ONCA);

AND WHEREAS
The CB&DRA is required to adhere to all sections of ONCA, including the appointment of an auditor or a person to conduct a review engagement of the financial statements;

AND WHEREAS
The Ontario Not-for-Profit Corporations Act, 2010 further states that “Members of a corporation other than a public benefit corporation may pass an extraordinary resolution to not appoint an auditor and to not have an audit or a review engagement in respect of the corporation’s financial year if the corporation had annual revenue in that financial year of $500,000 or less or such other prescribed amount. 2010 c. 15 s. 76(2);

AND WHEREAS
The Cumberland Beach & District Ratepayers Association Inc. has never had annual revenue of $500,000 or more;

AND WHEREAS
The costs associated with the performance of an audit is not feasible for our small corporation;

NOW, THEREFORE, BE IT RESOLVED
That at each Annual General Meeting this Extraordinary Resolution shall be presented to the membership for approval in order to waive the requirement to hold an audit or review engagement.

RESOLUTION #3

Park Rules

WHEREAS
The Cumberland Beach & District Ratepayers Association Inc. (CB&DRA) owns and manages the Cumberland Beach Park at 2751 Lakeside Drive in Cumberland Beach;

AND WHEREAS
The CB&DRA Board is comprised of volunteer members who act in good faith for the best interests of the Cumberland Beach & District Ratepayers Association members and the community at large;

AND WHEREAS
Complaints regarding various unwanted behaviour in the park have come to the Board’s attention;

NOW, THEREFORE, BE IT RESOLVED
That the following rules be initiated immediately and the membership be notified by as many methods as possible including but not limited to park signage, CB&DRA website notice, social media posts, and sending emails to list subscribers.

BE IT FURTHER RESOLVED
That non-compliance with park rules could result in progressive discipline including a verbal warning, written warning, and end with termination of membership.

  1. Member only park & beach.
  2. Children under the age of 12 must be accompanied by an adult.
  3. Swimming is at your own risk.
  4. Fires, fireworks, smoking/vaping are prohibited.
  5. Dogs must be leashed and under the owner’s control at all times.
  6. Clean up after your pet and take poop bags with you.
  7. No glass or alcoholic beverages.
  8. The park is closed at 11:00 pm.
  9. Snowmobiles must drive at 20 km/h or slower within posted park operating times only.
  10. Take all garbage with you.
  11. Violations may result in membership termination.

RESOLUTION #4

Dues Increase (January 2025)

WHEREAS
The Cumberland Beach Ratepayers Association requires payment to constitute membership on an annual basis;

AND WHEREAS
The Association budget is largely driven by timely receipt of dues

AND WHEREAS
Association members may pay as late as December at the annual meeting for dues payable in the calendar year ending that month in order to vote in the annual election;

AND WHEREAS
Such late dues payment has a negative impact on the income of the Association and its ability to effectively manage its budget throughout the calendar year;

AND WHEREAS
It is desirable for members to pay dues in the calendar year;

AND WHEREAS
The Association desires to increase dues across all membership categories by $5.00 to a total of $30 per year;

NOW, THEREFORE, BE IT RESOLVED
That the Cumberland Beach Ratepayers Association will raise its annual membership dues on January 1, 2025 by $5.00 to total $30 per calendar year in which dues are payable.
