Welcome and opening remarks by Larry Farr (Chair).
The only business to be conducted at the meeting is AGM business, as per the Ontario Not-for-Profit Corporations Act, 2010.
Call to order by the Chair
CBRA currently has 50 members (paid dues). With 11 members present and 24 proxy votes sent to the meeting, quorum (51%) was established.
The Chair reviewed the procedures and agenda with the members, including one voice/vote per household.
Minutes from the previous AGM (2024) were distributed and reviewed. Acceptance of the minutes was moved and carried.
In the notice of meeting a slate of directors was proposed with the following members included: Nancy Epps, JoAnn McNaughton-DeHaan, Belinda Renolds, Soulange Burrows, Robert Logan Schober, and Emily Epps. The term for Board members is 2 years with no limit on the number of times the director may stand for re-election.
The motion to accept the proposed slate of the board members was moved and carried.
The Financial Report was presented and discussed. A motion to accept the report as filed was moved and carried.
Highlights from the Financial Report included a review of the profitable Euchre Tournament held in the summer of 2024, which raised just under $1800. Nancy Epps was thanked for her idea to hold the tournament, and its direction and management. The monies raised was the equivalent of 60 annual memberships.
The current bank statement was presented by Treasurer, Lee Eccleston. Bank Balance $2300. Dues are coming fairly steadily at this time. A few people will be going door to door to collect dues in the coming weeks.
The Chair explained the next motion on the agenda, the Extraordinary Resolution, which allows the corporation to waive the necessity of an appointing an auditor for an annual review. The motion was moved and carried.
The Chair gave some closing remarks, and Nancy Epps thanked Larry Farr for his 10 years of volunteering on the CBRA board. Lee Eccleston and Angie Mcmillin are also recognized for their service on the Board.
